LEGAL / MARKETPLACE

TERMS

VERSION 1.1 / EFFECTIVE 22 OCTOBER 2026
THE SHORT VERSION.
Pass helps buyers and sellers transact. The original event and ticket rules still apply. Be accurate, cooperate with transfer, and use Support when something goes wrong.
01

PASS IS A MARKETPLACE

Pass is a secondary ticket marketplace that facilitates transactions between buyers and sellers. Unless Pass expressly says otherwise for a particular event, Pass is not the event organiser, promoter, venue, original ticket issuer, or primary ticket seller. A listing or transaction does not mean Pass organised, sponsored, endorsed, or is affiliated with the event.
Event information may come from organisers, venues, ticketing platforms, sellers, or other public sources and can change. The organiser, venue, and original issuer control admission and their ticket, resale, transfer, cancellation, and refund rules continue to apply. Pass may correct, remove, pause, or restrict inaccurate, unsupported, non-transferable, or prohibited listings.
02

BUYING ON PASS

A buyer may accept the lowest available seller ask with Buy Now or submit a price with Make an Offer. Offers and asks do not automatically transact merely because prices cross; a buyer or seller must explicitly accept the available price.
A buyer must provide accurate transfer information where required, follow the original issuer’s acceptance process, verify issuer communications, and not falsely claim non-delivery. Admission is ultimately controlled by the organiser, venue, or issuer, so Pass cannot guarantee entry where a valid transfer is later rejected for reasons outside Pass’s control.
03

SELLING ON PASS

A seller may list with Set Your Price or explicitly accept the highest available buyer offer with Sell Now. A seller must:
• have lawful authority to sell the ticket and accurately identify its original source or issuer;
• accurately describe the ticket, seat or ticket type, restrictions, and event;
• comply with the issuer’s and event’s resale and transfer rules;
• not list a fake, duplicated, cancelled, already-used, unavailable, or otherwise invalid ticket;
• not knowingly sell the same ticket elsewhere after a Pass transaction makes it unavailable;
• complete the required transfer on time, cooperate with verification, and provide truthful evidence;
• not manipulate screenshots, issuer messages, or other transfer evidence.
04

FEES

Buyers pay the ticket price and a R4.49 Pass service fee per ticket. Pass currently does not add a separate payment and settlement provider fee. Sellers pay no listing fee and a 5% commission only on a successfully completed sale.
The checkout breakdown separates ticket price, Pass service fee, settlement/payment provider fee, seller commission, buyer total, and seller proceeds. Provider fees may vary by transaction; the displayed transaction-specific amount governs. Taxes and VAT will be handled as required by applicable law and the final approved commercial model.
05

FUNDS, FULFILMENT + SETTLEMENT

Yoco processes buyer checkout for Pass. After Yoco settlement, eligible seller payouts are processed separately through PayAccSys. A successful buyer payment does not release seller funds: ticket fulfilment, buyer confirmation or an approved verification process, and dispute checks still control payout eligibility.
Settlement may be held while transfer is incomplete, evidence is insufficient, a transaction is disputed, fraud or risk review is needed, or an issuer/provider issue remains unresolved. The applicable release and payout timing is communicated through the Pass order status.
06

TICKET TRANSFER + EVIDENCE

Transfer method depends on the seller-selected original source. Ticketmaster, Quicket, Howler, Ticketpro, Computicket, and other issuers do not all use the same process, and some events disable transfer or open it only closer to the event. A completed issuer transfer may invalidate the seller’s original ticket or reassign/create a ticket for the recipient.
Transfer evidence is not the same as the ticket itself. Pass may request a completed-transfer screen or issuer confirmation, but users should not submit a live QR code or barcode unless specifically required through a secure process. Transfer Pending, an invitation, or a screenshot of the original ticket may be insufficient. Evidence upload alone never releases funds.
07

PROBLEMS, DISPUTES + REFUNDS

Report non-delivery, invalid tickets, incorrect transfer details, duplicate payment, seller non-fulfilment, event changes, or other transaction problems through Support promptly. Pass may request more evidence, ask the buyer to confirm receipt, hold settlement, prepare a dispute record, or escalate the case for human review.
Refund outcomes depend on the order state, evidence, issuer/event position, settlement status, displayed fees, and applicable South African law. These Terms do not exclude rights that cannot lawfully be excluded.
08

AI-ASSISTED + AUTOMATED OPERATIONS

Pass may use automated and AI-assisted systems for support triage and drafting, issuer/source and transfer-evidence classification, risk flagging, dispute preparation, event category normalisation and duplicate detection, reconciliation, refund-workflow processing, and privacy/compliance triage.
AI recommendations do not replace deterministic application rules for calculations, eligibility, authorization, state transitions, permissions, or idempotent refund/settlement processing. Conflicting evidence, significant disputes, consequential suspected fraud, permanent account restrictions, and privacy/legal edge cases may be escalated to a human. A user may challenge a materially consequential automated outcome through Support.
09

SAFETY + ACCOUNT MEASURES

Do not misuse Pass, interfere with the service, evade safeguards, misrepresent a ticket or identity, or attempt unauthorised access. Pass may pause a listing, hold a transaction, limit a risky feature, or refer a case for review where reasonably needed to protect users or the service.
Pass will not impose a permanent account restriction solely because an AI system inferred misconduct. Consequential restrictions require an appropriate review process, subject to urgent temporary safeguards where permitted and necessary.
010

UPDATES + CONTACT

Pass may update these Terms as the marketplace and providers evolve. Material changes will carry a new effective date and any notice or consent required by applicable law.
Use Support for transaction help, policy questions, organiser metadata corrections, content or rightsholder concerns, and challenges to an automated outcome.
